Business-Purpose Second Trust Deed on a House in Upland, California

A couple in Upland, in San Bernardino County, owned a house with a first mortgage they wanted to keep. Their business needed capital to buy inventory, and a small line of credit that had been used for the business needed to be paid off. Blue Fox Capital Corporation arranged a $335,000 business-purpose second trust deed behind the existing first. The loan funded about three weeks after the letter of interest.

The situation

A cash-out refinance of the first mortgage would have replaced a loan the owners had no reason to give up. A second trust deed from a private lender solved that: the first stayed where it was, and the new loan sat behind it. The referral came from an escrow officer who sends Blue Fox clients that banks turn away. Because the proceeds were for a business, the loan had to be documented as business purpose from the first page of the file.

What the file needed

  • A loan application with the declarations completed, and a certified copy of an interspousal deed so vesting matched the application.
  • A detailed business-purpose letter. The lender’s management sent the first letter back and asked for specifics on what the business does and what inventory the funds would buy. The revised letter also had to explain the small line of credit being paid off.
  • An appraisal, paid for by the owners through the lender’s payment link.
  • A preliminary title report with the specific endorsements the lender requires on a second. The title company that opened the file could not issue them, so title was moved to a company that could, and the prelim was rushed.
  • Evidence of insurance naming the lender as loss payee, and a payoff demand for the line of credit.
  • Signed loan documents, with the original note delivered to title to record concurrently with the deed of trust.
  • Funding conditions signed electronically by the owners and by Blue Fox, and a prefunding call between the lender’s management and the owners.

How it was packaged

Blue Fox had a letter of interest in hand and submitted the file three days later. The business-purpose letter was written with the owners, sent back for detail, and rewritten the same week. When the title company could not issue the required endorsements, Blue Fox agreed to move title rather than argue about it, and the new prelim was out within a day. Loan documents were signed and the lender’s funding conditions were cleared with escrow the same afternoon.

The outcome

The $335,000 loan funded and recorded the day after signing. The first mortgage was untouched, the business got its inventory capital, and the old line of credit was paid off at closing.
